Terms & Conditions
Prices Offered are ex-Goa works as per the prevailing rates of GST @ 18%. However, any increase in these or any other duties/levies as applicable on the date of dispatch shall be borne by the buyer.
Payment terms Shall be as mentioned on the quotation; in terms of advance payment along with the Purchase Order and balance payment due prior to dispatch. These terms are absolute and independent of any other parameters/changes. Goods will be dispatched only upon receipt of full payment as per agreed terms against each consignment.
Cancellation Once the order has been placed, it cannot be cancelled and advance payment shall not be refunded.
Delayed Lifting/despatch of Goods If the buyer is unable to collect the ordered materials within 15 days from the date of intimation of readiness, all outstanding payments must be settled immediately, and the buyer must make appropriate storage arrangements. Should Infiniti be required to store the goods, warehousing charges will apply at the rate of 0.5% of the order value per week, or part thereof. Storage is subject to a ceiling of 45 days from the date of intimation of readiness.
Forfeiture In case of the buyer’s inability to make all balance payments and lift the ordered materials beyond a period of 45 days from the date of intimation of readiness of goods, Infiniti reserves the right to forfeit any advances received and carry out disposal of the goods as deemed fit to recover the amounts due.
Delivery period Shall be as mentioned on the quotation for locally manufactured items, and 16-20 weeks for imported items. This period is given in good faith on the premise and assurance of best efforts, and commences from the date of receipt of all of the following: (i) Purchase Order (ii) Advance payment (iii) Confirmation of layout, drawings & colour scheme. Note: Delivery period is ex-Goa works, not inclusive of transit time.
Warranty Terms Infiniti products are manufactured and tested to rigorous quality standards. This Limited Warranty offered by Infiniti covers manufacturing defects for products as per original standard Infiniti designs, extends to the original purchaser only and is non-transferable. Only consumers purchasing Infiniti products from the company, its authorized retailers / resellers or through the company website may obtain coverage under our limited warranties. Interest Payment Infiniti is a registered MSME, vide regn no MSME / UAN : GA01B0000518. Interest on delayed payments will be chargeable under the MSME Act.
Imported Items Prices are subject to adverse currency fluctuation. For imported items, the delivery period may get prolonged due to delays in shipping or customs clearance. The delivery period is given in good faith and is also subject to additional time period on account of clubbing of orders for efficiency of container load / freight / fulfillment of MOQ from vendor.
Transportation Prices are ex-Goa works. Reimbursement of costs towards Transportation and Transit insurance of goods, as well as Installation at site (travel, lodging & boarding of our personnel to the buyer’s site) will be extra, payable by the buyer. Alternatively, the buyer may decide at the time of order placement, to themselves organize transportation at their own cost. Note: Freight is estimated; may vary at the time of dispatch.
Logistics / Statutory documentation & Local levies For outstation projects, buyer to be responsible for any local state levy/documentation/permit/statutory requirement. Kindly allow a few days after balance payment to organize transport, documentation and other logistics.
Specifications In our constant endeavour to improve and upgrade our products, specifications and dimensions are subject to change without notice.
Alterations/Variations No alterations or variations of the order and/or condition of sale made by the buyer shall be binding unless agreed by Infiniti in writing.
Colours Actual colours / shades may differ from appearance in catalog, soft copies of shade cards and website; colour is subject to confirmation and availability at time of order placement. Fabric being a bought-out item, could display minor shade variations from approved sample.
Transfer of Title The property or title of the goods shall not pass to the buyer until the respective invoices and debit notes have been settled in full.
Unloading Goods Unloading of the goods at site is within the Buyer’s scope and responsibility. Buyer to ensure careful unloading of the goods under supervision, to prevent damage to goods.
Site ConditionsThe buyer must ensure the site is clean, dry, and ready for installation, with no ongoing civil work that may damage the goods. Infiniti is not liable for damage due to humidity, poor site conditions or other by other agencies working at site. The buyer to provide bright and ventilated space for installation, and electricity at the location.
Protection & Custody Infiniti is not liable for any losses/ damage/ pilferage occurring during storage of goods at the buyer’s site. Goods once delivered to site will be under the custody and responsibility of the buyer; and should be stored in a secure and lockable space.
PAN, MSME & GSTIN details Your PAN, MSME & GSTIN details (if applicable) are mandatory along with PO.
TDS Since TDS is not applicable on sale of goods, it is not deductible from the payment / invoice amount.
Force Majeure Conditions Deliveries are subject to Force Majeure conditions. Infiniti shall not be liable for the delivery, or delay in delivery, of the products if it is prevented, restricted, delayed or interfered with, due to circumstances beyond Infiniti’s reasonable control, including without limitation, acts of requisition or expropriation by any Competent Authority, war, armed conflict, riot, sabotage, acts of terrorism, crime, state enforced embargo, including embargoes on movement of persons, goods and materials, fire, flood, earthquake, cyclone, plagues, epidemic, pandemic or other natural calamity, or strike or lockouts or disturbance by workers/trade unions.
- Infiniti shall inform the Buyer of a Force Majeure event and provide an estimation, or revised estimation, of delay and shall make all reasonable efforts to bring the force majeure event to a close.
- In the event that Infiniti has not purchased raw materials specific to the Buyer’s order, or not commenced production of the Buyer’s order, then, at the option of Infiniti and if agreed to in writing by Infiniti, the order may be cancelled and any advance made by the Buyer shall be returned.
- In the event that Infiniti has purchased order specific raw materials, or commenced production of the buyer’s order, then the specified time period for delivery shall be extended by the duration of the Force Majeure event and a period of at least 21 days after the force majeure event has concluded.
Jurisdiction All disputes arising out of this contract shall be subject to the exclusive jurisdiction of the courts in the State of Goa.
